Ciggy Suits “Referral Contest” Terms & Conditions
NO PURCHASE NECESSARY TO ENTER OR WIN. (Buying our NFT is not required to get a referral code, though referrals involve others minting our NFTs.) This is a skill-based contest, not a game of chance. Winners will be determined solely by the number of valid referrals each participant achieves, with no random element. Void where prohibited by law or regulation.
By participating in the contest, you agree to the following Official Rules:
1. Sponsor
The contest is organized by SnakesonApe (the “Sponsor”), a small Web3/NFT project team. SnakesonApe is solely responsible for this promotion. This contest is in no way sponsored, endorsed, or administered by any other platform or company (for example, it’s not endorsed by X (formerly Twitter), Discord, or the ApeCoin Foundation). For any questions or issues, you can contact the Sponsor @SnakesOnApeNFT.
2. Eligibility

Age: The contest is open to individuals who are at least 18 years old (or the age of majority in their jurisdiction, if higher) as of the start of the contest. Minors are not eligible.

Jurisdiction: The contest is open globally to participants from any country except where participation would be illegal or restricted by law. It is the participant’s responsibility to ensure that entering this contest does not violate any local laws or regulations. Void where prohibited by law.

Sanctions Restrictions: You are not eligible to enter if you are on any government sanctions list or residing in a country/region under comprehensive economic sanctions (e.g. North Korea, Iran, Syria, Cuba, Crimea/Donetsk/Luhansk regions, etc.) the Sponsor will not award prizes to prohibited persons or participants in prohibited areas.

Qualified Wallet: To participate, you must have a valid cryptocurrency wallet on the ApeChain network (for receiving the prize in APE tokens). Ensure you alone control the private keys to that wallet.

Team and Affiliates Exclusion: Members, employees, and contractors of SnakesonApe, its affiliates, and any individuals involved in executing this contest (such as project team, moderators, marketing partners), as well as their immediate family members and household members, are not eligible to win prizes. This contest is intended for community participants only, to keep the competition fair.

One Wallet Per Person: Each person may participate with only one wallet. This wallet will represent your entry and eligibility for winning. Creating multiple identities or wallets to gain an advantage is prohibited. If the Sponsor suspects a participant is using multiple accounts or otherwise circumventing this rule, the participant may be disqualified (see Section 7).
By entering, you represent and warrant that you meet all eligibility requirements. Entrants who do not meet the above criteria (or who violate any of the rules) may be disqualified and ineligible for prizes.
2.1. KYC / Identity Verification.
To the extent required by applicable law or regulation (including anti-money laundering (“AML”) or “know your customer” (“KYC”) requirements), the Sponsor may request that any Participant or Winner submit government-issued identification or other documentation (e.g., passport, driver’s license, proof of address) within 14 days of such request. If requested and the Participant or Winner fails to provide satisfactory documentation by the deadline, Sponsor reserves the right to disqualify the entry or forfeit the prize, at Sponsor’s sole discretion.
3. Contest Period
The referral contest begins when the MINT begins July 7th 2025 and ends when the project has MINTED out (the “Contest Period”). All times are [Mountain Standard Time, USA]. Entries (referrals) will only be counted if they occur during the Contest Period. The Sponsor’s records (including blockchain timestamps) are the official time-keeping method for this contest. No referrals made before the start or after the end of the Contest Period will be counted.
The Sponsor reserves the right to extend, shorten, or cancel the Contest Period in the event of unforeseen issues (such as technical failures or suspicious activity), but will make a public announcement if any changes occur. Always refer to the latest information on our official contest page.
4. How to Apply & Enter Contest (Referral Mechanics)
Entry is free and open to all eligible community members. To enter the contest and compete for prizes, follow these steps:

Obtain Your Referral Code/Link: Visit the official contest page to review terms & conditions. Apply to receive a referral code by reaching out to the Sponsor team members and provide your wallet address via X (formerly twitter).

You will be provided with a unique referral code or referral link associated with your wallet. (If you have any issues obtaining a code, please be patient.)

Share Your Referral Code: Once you have your referral code or link, you can share it with friends, community members, or anyone interested in minting Ciggy Suits NFT. There is no limit to how many people you can refer. Use social media, word of mouth, etc., but please avoid spamming & botting (see Section 7 on prohibited conduct).

Earn Referral Credit: You will get credit for a “referral” whenever a new user uses your code/link to mint a Ciggy Suit NFT during the Contest Period. In other words, for each successful NFT minted with your referral link, you will earn 1 point. The more points you accumulate, the higher your chances of being in the top 5.

Important: The referred user must complete the mint transaction during the Contest Period and it must be a valid mint (not reverted or invalidated) for it to count. If a referred person’s transaction fails or is canceled, it won’t count as a referral.

Each Ciggy Suit minted by a wallet that is not your own will count towards your point total. Multiple mints by the same wallet will count towards your point total. The intent is to encourage the promotion and spread of the project and team.

No Purchase Required for Referrer: You (the referrer) are not required to purchase anything to get a referral code or participate. Owning one of our NFTs is not required to be a referrer (though you might be planning to mint yourself which is allowed). This contest focuses on referring others. (Note: The referred friends will need to pay any mint cost and network fees to mint the NFT, but there is no extra cost to participate beyond that normal transaction.)
Entry Example: Alice gets her referral link from a member of the SnakesonApe team and shares it on X (formerly Twitter). Bob clicks Alice’s link and mints a Ciggy Suit NFT during the contest. Alice gets 1 referral point. Alice also shares the link with Carol, who mints an NFT – now Alice has 2 points, and so on. At contest end, Alice’s total referrals are tallied and compared to others.
All participants must comply with these Official Rules. Entries (referrals) that are incomplete, fraudulent, or not in accordance with the rules will be disqualified or not counted. Snakes on Ape is not responsible for any referral that doesn’t get recorded due to user error, technical issues, or any reason beyond the Sponsor’s control (for example, if someone forgets to use your code or enters it wrong, that referral won’t be credited).
5. Prize Structure
Prize Pool: A total of 1,250 APE tokens (ApeCoin cryptocurrency) will be awarded, spread across the top five referrers, as follows:

Prize Details & Conditions:

Prizes will be delivered in the form of APE cryptocurrency tokens to the winners’ provided ApeChain wallet addresses. There are no alternative prize options (no cash substitutes). Winners cannot request a different reward.

The prizes are non-transferable. A winner cannot assign their prize to someone else. If a winner is disqualified or declines the prize, the Sponsor may, at their discretion, award that prize to the next eligible runner-up (e.g., the 11th place, in order of referrals) or dispose of the prize otherwise.

The Sponsor reserves the right to substitute a prize of equal or greater value in the event that delivering APE tokens becomes impractical or impossible (for instance, if ApeChain network has issues). Any substitution would be communicated, but the Sponsor intends to award APE as stated.

All expenses and costs associated with the prize acceptance and use that are not expressly stated as part of the prize (for example, any transaction fees to move or sell the tokens after you receive them) are the responsibility of the winners. The Sponsor simply sends the tokens; what you do with them (and any costs or taxes arising) is up to you (see Taxes in Section 9).
6. Winner Selection and Tie-Breaking
Determining Winners: At the conclusion of the Contest Period, the Sponsor will compile all referral data and rank participants by their number of valid referrals. The five (5) participants with the highest referral counts will be deemed potential winners, with placements 1st through 5th corresponding to the prize tiers above. This contest is judged purely on the quantity of eligible referrals each participant achieves – quality of referrals is not separately judged (so long as they are valid mints).

Verification: Before finalizing the winners, the Sponsor may verify the referral counts and the legitimacy of those referrals. This may include checking that referred mints were by unique, legitimate accounts and not the referrer themselves or bots. The Sponsor has the right to invalidate any referral that appears to violate the rules or spirit of the contest (e.g., suspicious self-referrals or fraud – see Section 7). After verification, the results become final.

Tie-breaker: In the event of a tie in referral count that impacts the top 10 (for example, if two people are tied for 5th place, or a tie for 1st, etc.), the tie will be broken by timestamp of the final qualifying referral. Specifically, the participant whose last referral was achieved earlier in time will be ranked higher. (Rationale: the person who reached the tied number first had their referral sooner.) If for some reason a tie still remains (e.g., two participants referred the same number of people at the exact same times), the Sponsor reserves the right to apply an additional tie-break criterion in a fair and equitable manner – which could include, for instance, looking at who reached the previous referral count first, or other time-based metrics. The goal is to break ties by who was ahead first in time, not by chance. No random tie-break drawings will be used.

The Sponsor’s determination of the winners (after applying any tie-breakers and disqualifications) is final and binding. All participants agree to abide by the Sponsor’s decisions, which shall be made in good faith and are not subject to challenge, except as provided by law.
7. Disqualification and Fraud Prevention
The Sponsor is committed to running a fair contest. Anyone found to be engaging in dishonest or prohibited conduct will be subject to disqualification. By entering, you agree to play fair and follow these rules. Specifically, the following will result in disqualification (and/or referral credits being voided), at the Sponsor’s sole discretion:

Multiple Accounts / False Identities: Entering or attempting to enter the contest using multiple wallets or identities is strictly prohibited. Each person is allowed one entry (one referral code). If you create fake accounts or additional wallets to get more referral codes or to mint NFTs under your own referral, you will be disqualified. We value real community growth, not artificial inflation.

Self-Referral Abuse: You may not refer yourself. That means you cannot use your own referral link to mint NFTs with a wallet under your control. Any such “self-referrals” will not count, and if systematic, will lead to disqualification. We understand inviting a close friend or family member is fine – but creating shell wallets that you effectively control to simulate referrals is cheating.

Automated or Mass Registration: Do not use bots, scripts, automated services, or any third-party tools to create referral mints. All referral mints should come from real individuals who genuinely mint. Any referral mints that are generated by scripts, macro, or other automated means are void. Similarly, exploiting any vulnerabilities or using any technique to artificially boost your referral count is forbidden.

Spamming/Harassment: While promotion is encouraged, participants must not spam others with referral links in a manner that violates platform rules or harass potential referees. For example, do not post your referral link in unrelated Discord servers, comment sections, or DMs in a way that violates those platforms’ policies or annoys users. Normal sharing with interested parties is fine; aggressive spam is not. The Sponsor may disqualify participants who are reported for spamming or other abusive conduct in connection with the contest.

Misrepresentation: Do not misrepresent the contest or our project to entice referrals. For instance, you must not lie about the project’s features, promise additional rewards that don’t exist, or impersonate the project team. Honest advocacy is welcome; deception is not.

Any Illegal Activity: If any participant is found to be engaging in behavior that is illegal (such as fraud or hacking) in the context of the contest, they will be disqualified and potentially reported to authorities. We have zero tolerance for criminal actions.

Other Breaches: Any breach of these Official Rules or attempts to undermine the legitimate operation of the contest by cheating, hacking, deception, or other unfair practices will result in disqualification. The Sponsor reserves the right to ban such participants from this and future promotions.
Enforcement: The Sponsor reserves the right to monitor referral activity and investigate any suspicious behavior. This can include checking on-chain data or other analytical methods. Decisions regarding disqualification are made at the Sponsor’s sole discretion and are final. While we will act fairly, we are not required to provide exhaustive proof to the participant in cases of clear rule violations. By entering, you agree that the Sponsor may disqualify you if, in Sponsor’s reasonable opinion, you have violated the rules or the integrity of the contest.
8. Winner Notification and Prize Distribution
Announcement of Winners: Within 2 weeks of the Ciggy Suits “minting out”(successfully minting all 1971 NFTs) or the contest otherwise being concluded, the Sponsor will determine the winners as described in Section 6. The Sponsor will then announce the winners publicly. Since we do not collect personal info, winners will be announced by their wallet addresses (or a portion thereof) and/or via their known community usernames (if we have them). For example, we may post on our website or Discord, “Congratulations to the top referrers: 1st place: 0xABC…1234, 2nd place: @ExampleXuser1971, etc.” The announcement will also detail the referral counts and prizes won.
Direct Notification: In addition to the public announcement, if possible, the Sponsor will attempt to directly notify the winners:

If the winners provided a Discord handle, X (formerly Twitter) handle, or email during the contest (voluntarily), we may DM or email them. Otherwise, the primary method of notification is the public announcement.

Because this is a crypto contest and we have the wallet addresses, the Sponsor might also send a small on-chain message or transaction to the winning addresses to signal the win (e.g., sending a trivial amount of APE or an NFT with a message) if direct off-chain contact is not available. This is to ensure the winner knows to check the announcement.
Prize Delivery: The APE token prizes will be sent directly to the winners’ ApeChain wallet addresses (the same ones used for their referral code) shortly after announcement. We expect to distribute all prizes within [7-14 days] after the contest end, barring any unforeseen delays. There is no claim form or further action needed from winners to receive the tokens – just keep your wallet accessible. Note: please ensure your wallet can accept ApeCoin (APE) on the relevant chain and you have access to it. The Sponsor is not responsible if a prize cannot be delivered because the winner provided an incompatible or incorrect address.
If any issue arises with sending the prize (e.g., technical wallet issues), the Sponsor will make a good-faith effort to contact the winner for a resolution. If a winner cannot be reached or does not acknowledge their win within 14 days of the first notification (e.g., they don’t respond on Discord if we need info), the Sponsor may deem the winner forfeited. In case of forfeiture or disqualification after the fact, the Sponsor may award the prize to the next eligible participant (for example, if the 5th place forfeits, the 6th highest referrer might receive the 5th place prize), or the Sponsor may decide not to re-award it, at its sole discretion.
The Sponsor’s obligation is only to send the stated APE tokens to the winners. The Sponsor is not responsible for what winners do with the tokens thereafter (e.g., if you lose access to your wallet or send tokens to the wrong address after receiving them, that’s beyond our control).
The winners may be asked (but not required, given anonymity) to share a short quote or testimonial about the contest for our community, or to join an AMA – purely voluntary. Acceptance of a prize constitutes permission for the Sponsor to use the winner’s wallet address and contest performance (e.g. “X referrals”) for legitimate promotional purposes in relation to this contest and SnakesonApe’s marketing, without additional compensation, unless prohibited by law.
9. Taxes and Winner Responsibilities
Tax Liability: Each winner is solely responsible for any and all taxes (national, federal, state, provincial, local, or any other taxes or fees) that apply to the receipt of the prize. The Sponsor will not withhold or pay any taxes on your behalf. For U.S. residents, note that the prize value is below $600, so the Sponsor will not issue an IRS Form 1099-MISC; however, the value of the cryptocurrency may still be considered taxable income and should be reported by the winner as required by law. Non-U.S. winners should follow their own jurisdiction’s tax rules for lottery/contest winnings or miscellaneous income. Consult a tax professional if you are unsure of how to report your prize.
The Sponsor disclaims any liability for taxes or financial consequences that may arise from your acceptance of the prize. By accepting a prize, you agree that the Sponsor has delivered the prize to you as described, and any tax obligations are yours alone. The Sponsor will cooperate with providing documentation of the prize award if necessary (for example, a receipt of the transfer on blockchain) but will not provide tax advice.
Other Responsibilities: It is the winner’s responsibility to have a secure wallet to receive the prize and to be able to transact on the ApeChain network. Any costs associated with accessing or transacting with the prize (such as network gas fees to move or swap the APE tokens after receipt) are the winner’s responsibility. The Sponsor will cover the gas fee for sending the prize to your wallet, but nothing beyond that.
If a winner is found to be ineligible (e.g., discovered to be underage, from a prohibited jurisdiction, or in violation of these rules), they must forfeit the prize and, if the prize has already been delivered, return the prize (or its value) to the Sponsor upon request. By entering, you agree that if you are ruled ineligible or disqualified, you will comply with any instructions to return or destroy prizes you should not have received.
10. General Terms and Disclaimers
By participating in this contest, you agree to the following general terms, conditions, and disclaimers:

Compliance with Laws: This contest is subject to all applicable federal, state, local, and international laws and regulations. Void where prohibited or restricted by law. Participation is an entrant’s unconditional agreement to these Official Rules and all Sponsor decisions, which are final. You also agree to comply with the terms of any platforms used in the contest (e.g., ApeChain network terms, Discord terms if used for announcements, etc.).

Contest Modification or Cancellation: The Sponsor reserves the right to cancel, suspend, or modify the contest if any fraud, technical failure, or any other factor beyond the Sponsor’s reasonable control impairs the integrity or proper functioning of the contest, as determined by the Sponsor in its sole discretion. This includes the option to end the contest early or invalidate suspect referrals if needed to ensure fairness. If cancellation occurs, the Sponsor may, if feasible, award the prizes based on non-suspect, eligible performance up to the time of cancellation, or not award them at all, at Sponsor’s discretion. Entrants will be notified of any such changes via the official channels.

Limitation of Liability: By entering, you agree that the Sponsor and its respective team members, affiliates, and agents (collectively, the “Released Parties”) are not responsible for and are released from any liability with respect to:

Technical Issues: Any problems, bugs, or malfunctions affecting the contest, including but not limited to errors in blockchain transactions, wallet malfunctions, website downtime, incorrect referral tracking, lost network connections, or any technical error that may occur in the processing of entries or announcement of winners. The Released Parties are not responsible if any referral or entry is not recorded or is lost due to technical difficulties or user error.

Unauthorized Intervention: Any attempt by an individual or group to deliberately damage or undermine the legitimate operation of the contest (including hacking, denial-of-service attacks, or manipulation of the referral process) may be a violation of criminal and civil laws. The Sponsor reserves the right to seek damages from any such persons to the fullest extent permitted by law. However, the Released Parties are not liable for losses caused by such attacks or interference beyond removing the bad actors from the contest.

Participant Conduct: Any claims arising from the conduct of, or interactions between, participants in the contest. For example, if participants argue or someone spams a link somewhere and gets in trouble, that’s outside the Sponsor’s responsibility. Each participant is responsible for their own actions when promoting their referral link.

Prize Use: Any losses or damages of any kind incurred by the winners in connection with their use of the prize. The cryptocurrency awarded is provided “as is” with no guarantees. The Sponsor is not liable for any volatility, loss of value, or inability to liquidate the awarded APE tokens. Once delivered to the winner’s wallet, the winner assumes all risk associated with owning and managing the tokens.

Personal Injuries or Property Damage: (Unlikely relevant in a referral contest, but included for completeness) Any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from participation in the contest or receipt or use of any prize. Since this is an online-only contest, physical injury is not anticipated, but this covers any scenario (for instance, someone claims their device got malware during participation, the Sponsor isn’t liable for that).

In no event will the Sponsor be liable to any entrant for any direct, indirect, incidental, special, consequential, or punitive damages arising out of participation in this contest or any prizes awarded, even if the Sponsor was advised of the possibility of such damages. Entrants participate at their own risk. Entrant’s sole remedy for any claim against the Sponsor arising out of this contest is limited to an action for at most the retail value of the entrant’s prize, if any (and if no prize was won, then nothing). Some jurisdictions do not allow certain liability limitations or exclusions, so some of these may not apply to you – but in such case, all other limitations apply to the fullest extent permitted by law.

Release of Claims: By entering, you agree to release, indemnify, and hold harmless the Released Parties from any and all claims, actions, injuries, losses, liabilities, or damages arising in any manner, directly or indirectly, from participation in this contest or acceptance or use of any prize. You agree that no claim relating to such matters will be pursued against the Sponsor or related parties. This release does not apply to any conduct of the Sponsor that is found to be intentional misconduct or fraud under the law (we’re not released from our own serious wrongdoing), but it does cover ordinary errors, contest administration issues, or disputes over how the contest is run or prizes delivered.

Publicity: Except where prohibited, participation in the contest constitutes each winner’s consent to the Sponsor’s and its agents’ use of the winner’s wallet address, referral statistics (e.g., “X referrals”), and/or username for promotional purposes. For example, we may publish a winners list or mention the winners in a project update. We will not ask for or publish personal real names or images, since we are not collecting those. This publicity release is limited to contest-related purposes (e.g., announcing winners, summarizing the contest results) and does not extend beyond what’s reasonable for promotion. No additional compensation will be provided for such publicity, and winners agree not to claim any such compensation.

Privacy: We value your privacy. The only data being collected/used for this contest are blockchain wallet addresses and referral actions. No personally identifiable information (PII) (such as name, email, physical address) is required to participate. By entering, you acknowledge that the Sponsor will record your wallet address and referral count to administer the contest, determine winners, and for prize distribution. If you win, that wallet address will be publicly posted as described. If you choose to provide any additional info (like a social media handle for contact), the Sponsor will handle it in accordance with standard privacy principles and solely for contest administration (e.g., contacting winners). We do not sell or share participant data with third parties, except as needed for contest operations or legal requirements. Please refer to our Privacy Policy if applicable. In short, we are just aggregating minting information which is already publicly available and referral code usage to determine winners. No confidential personal data is being gathered for the purpose of determining contest winners.

No Warranties: The Sponsor makes no warranties or representations of any kind concerning the contest or the prizes. Participation is provided “as is” and at the entrant's own risk. The Sponsor disclaims any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. While we hope everyone enjoys the contest, we cannot guarantee it will meet your expectations or that there won’t be any errors. Similarly, we cannot guarantee the future value or utility of the APE token prizes – the crypto market is beyond our control.

Governing Law and Disputes. These Official Rules and the rights and obligations of the parties shall be governed by and construed in accordance with the laws of the State of New Mexico, USA, without regard to its conflicts-of-law principles. Any dispute, claim, or controversy arising out of or relating to this contest or these Official Rules—including interpretation, performance, breach, or termination—shall be finally resolved by binding arbitration as follows:

Arbitration Panel. The arbitration shall be administered under the Commercial Arbitration Rules of the American Arbitration Association, except that the panel shall consist of three (3) arbitrators chosen by Sponsor from among individuals with demonstrable expertise in Web3/NFT or blockchain matters.

Seat and Procedure. The seat of arbitration shall be Santa Fe, New Mexico. The arbitrators shall apply the substantive law of the State of New Mexico and shall render a reasoned award.

Individual Proceedings. You and Sponsor each waive the right to a jury trial, to participate in a class, collective, or representative action, and to appeal any arbitration award (which shall be final and binding).

Fees and Costs. Each party shall bear its own attorneys’ fees and costs; the panel may allocate the arbitrators’ fees and administrative costs among the parties as it deems appropriate.

Severability. If any portion of this arbitration provision (or these Official Rules generally) is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement: These Official Rules (and any updates or amendments the Sponsor issues in accordance with them) constitute the entire agreement between the Sponsor and participants with respect to the contest. They supersede any prior statements or advertisements about the contest (so if there’s a conflict between a tweet about the contest and these rules, these rules govern).

Sponsor’s Decisions: By entering, you acknowledge that you have read, understood, and agree to abide by these rules. You further agree that all Sponsor decisions regarding the contest are final and binding. Any attempt to deliberately interfere with or undermine the legitimate operation of this contest may be a violation of law and will result in disqualification.
By participating in the contest, you affirm that you have read these Official Rules and agree to them. If you do not agree with any rule or are not eligible, please do not participate. This contest is meant to be a fun and rewarding way to engage our community – we appreciate your honest participation and hope you enjoy competing!
